IQ Cortex — A service of Reality Border LLC

These Terms of Service (“Terms”) govern your access to and use of IQ Cortex and related websites (e.g., iqcortex.ai) operated by Reality Border LLC (“Reality Border,” “we,” “us,” or “our”).

1. Agreement and Precedence

By accessing or using IQ Cortex, you agree to these Terms. If you are using IQ Cortex on behalf of an organization (e.g., an enterprise or carrier), you represent that you have authority to bind that organization. Where you or your organization has a separate master service agreement, order form, or data processing addendum with Reality Border (“MSA”), the MSA governs to the extent it conflicts with these Terms. These Terms apply to website visitors and to platform use where no MSA is in place.

2. Description of IQ Cortex

IQ Cortex is a governed, MCP-native decision and orchestration layer for high-stakes enterprise operations. It is delivered as a platform with vertical-specific editions, including Wholesale Carrier Voice (telecom) and other verticals we may offer. IQ Cortex provides:

IQ Cortex is interface-agnostic: it is designed to integrate into your existing tools rather than replace them. Capabilities vary by vertical (e.g., in telecom: incident triage, voice quality and routing, billing reconciliation and disputes, fraud intelligence; in other verticals: the decision products applicable to that domain).

3. Account and Access

Access to the platform may require an account and authentication (e.g., SSO via your organization’s identity provider). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us promptly of any unauthorized access or breach. Access is permission-gated; we may suspend or revoke access for violation of these Terms or for operational or security reasons.

4. Acceptable Use

You agree to use IQ Cortex only for lawful purposes and in accordance with these Terms and any applicable MSA or policy. You must not:

5. MCP Tools and Actions

IQ Cortex exposes capabilities as tools via MCP. Tool access is scoped by role and policy. High-impact actions (e.g., routing or configuration changes, containment, dispute or campaign actions) may require human approval or multi-person authorization. You are responsible for ensuring that users within your organization use tools in compliance with your internal policies and with these Terms. We are not liable for actions taken by authorized users through the platform where such actions were approved in accordance with the platform’s controls and your configuration.

6. Data and Privacy

Your use of IQ Cortex involves processing of data as described in our Privacy Policy. By using the platform you acknowledge that we process data in accordance with that policy and, where applicable, any data processing addendum or MSA. You are responsible for ensuring that you have appropriate rights and lawful bases to provide data to IQ Cortex and that your use complies with applicable privacy and sector-specific regulations.

7. Intellectual Property

IQ Cortex (including software, interfaces, documentation, and the IQ Cortex name and marks) is owned or licensed by Reality Border. We grant you a limited, non-exclusive, non-transferable right to access and use the platform as permitted by your agreement and these Terms. You retain ownership of your data and content. You grant us a limited license to use, process, and store your data as necessary to provide and improve the service and as set out in our Privacy Policy and any MSA.

8. Service Levels and Availability

Where an MSA or order form specifies service levels (e.g., uptime, support), those terms apply. Otherwise we strive to maintain availability and will use reasonable efforts to notify you of planned maintenance. We do not guarantee uninterrupted or error-free operation.

9. Disclaimers

IQ CORTEX IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET ALL OF YOUR REQUIREMENTS OR BE FREE OF DEFECTS OR ERRORS. RECOMMENDATIONS AND OUTPUTS FROM THE PLATFORM ARE FOR OPERATIONAL SUPPORT; YOU REMAIN RESPONSIBLE FOR BUSINESS DECISIONS AND FOR VERIFYING CRITICAL ACTIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALITY BORDER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS) ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR IQ CORTEX SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD 100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Reality Border and its affiliates and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of IQ Cortex; (b) your violation of these Terms or applicable law; (c) your data or content; or (d) any dispute between you and a third party relating to the platform. We will notify you of any such claim and cooperate in the defense at your expense.

12. Termination

We may suspend or terminate your access to IQ Cortex for violation of these Terms, non-payment, or for operational or security reasons, with notice where practicable. You may stop using the platform at any time. Upon termination, your right to access the platform ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or IQ Cortex shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction and venue there. Where an MSA specifies different dispute resolution (e.g., arbitration), the MSA governs.

14. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last Updated” date. For material changes we will provide additional notice (e.g., email or in-product) where appropriate. Continued use of IQ Cortex after changes constitutes acceptance of the updated Terms to the extent permitted by law and your agreement.

15. General

These Terms, together with the Privacy Policy and any MSA or order form, constitute the entire agreement between you and Reality Border regarding IQ Cortex. No waiver of any term is effective unless in writing. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. We may assign these Terms; you may not assign without our prior written consent.
